These Private Label Terms apply to all bespoke candle, reed diffuser and home fragrance products manufactured by The Candle Company, a trading name of Inner Alchemist FZE.
By placing a private label order, the Client agrees to these Private Label Terms in addition to our general Terms & Conditions.
1. Private Label Services
The Candle Company provides bespoke manufacturing services, including but not limited to:

Private label candles
-
Reed diffusers
-
Custom fragrance development
-
Corporate gifting
-
Branded packaging
-
Custom vessels
-
Retail collections
-
Hospitality collections
-
Promotional products
Each project is produced according to the specifications approved by the Client.
2. Minimum Order Quantities
Minimum order quantities (MOQs) apply to all private label products.
The applicable MOQ will be specified within the quotation and may vary depending on the product, packaging and level of customisation.
3. Quotations
Quotations remain valid for 30 days unless otherwise stated.
Pricing is based on the specifications supplied by the Client at the time of quotation.
Changes to quantities, packaging, fragrances, artwork, vessels or other specifications may result in revised pricing.
4. Deposits & Payment
Production will only commence once the required deposit has been received.
Unless otherwise agreed in writing:
-
a 50% non-refundable deposit is required to confirm production;
-
the remaining balance must be paid before collection or dispatch.
Deposits are non-refundable as materials, fragrances, packaging and production capacity are allocated specifically for each project.
Late payments may result in production delays or postponed delivery.
5. Artwork & Design Approval
The Client is responsible for reviewing and approving all artwork, labels, packaging, spelling, colours and specifications before production begins.
Once written approval has been provided, The Candle Company accepts no responsibility for errors approved by the Client.
Any changes requested after approval may incur additional costs and revised production timelines.
6. Product Specifications
Products will be manufactured according to the final approved specifications.
These may include:

fragrance
-
vessel
-
wax
-
wick
-
colour
-
packaging
-
labels
-
printing
-
accessories
-
decorative elements
Any changes requested after production has commenced may not be possible.
7. Custom Fragrance Development
Where The Candle Company develops a bespoke fragrance for the Client, reasonable fragrance refinements may be included within the agreed project scope.
Once a fragrance has been approved by the Client, any subsequent changes may be treated as a new fragrance development project and may incur additional charges.
Unless otherwise agreed in writing, bespoke fragrance formulations remain the intellectual property of The Candle Company.
8. Natural Materials
Our candles are handcrafted using premium natural waxes and fragrance oils.
As a result, slight variations may occur between production batches, including:

frosting
-
surface texture
-
wax colour
-
fragrance appearance
-
botanical placement
-
decorative finishes
These natural characteristics do not affect product performance and are not considered manufacturing defects.
9. Fragrance Variations
Fragrance perception is subjective and may vary between individuals and environments.
Factors such as room size, ventilation, temperature and storage conditions may influence fragrance performance.
Minor variations in fragrance strength between batches are considered normal within industry manufacturing tolerances.
10. Product Care & Storage
Following delivery, products should be stored in a cool, dry environment away from direct sunlight, excessive heat and moisture.
The Candle Company accepts no responsibility for damage caused by improper storage or handling after delivery.
11. Production Lead Times
Estimated production timelines are provided in good faith but remain estimates only.
Lead times may vary depending on:

project complexity
-
order quantity
-
material availability
-
packaging production
-
supplier lead times
-
seasonal demand
The Candle Company will make every reasonable effort to meet agreed delivery dates but cannot guarantee specific completion dates.
12. Delivery & Collection
Risk transfers to the Client once products have been collected by the Client or released to a third-party courier.
The Candle Company is not responsible for delays caused by shipping providers, customs authorities or circumstances beyond its reasonable control.
13. Inspection Upon Delivery
The Client should inspect all products immediately upon receipt.
Any shortages, damage or manufacturing concerns must be reported in writing within 7 days of delivery.
Claims submitted after this period may not be accepted.
14. Returns
Due to the bespoke nature of private label manufacturing, custom-made products cannot be returned or exchanged unless they do not meet the agreed specifications.
Where a manufacturing issue is confirmed, The Candle Company may, at its sole discretion:

repair the products;
-
replace the products; or
-
provide an appropriate refund.
15. Ownership of Goods
Ownership of all products remains with The Candle Company until full payment has been received.
16. Intellectual Property
Unless otherwise agreed in writing, all concepts, fragrance formulations, packaging designs, artwork, photography, creative concepts, product designs and manufacturing methods developed by The Candle Company remain its intellectual property.
Nothing within these Terms transfers ownership of intellectual property to the Client unless expressly agreed in writing.
17. Marketing & Portfolio
The Candle Company reserves the right to photograph completed products and reference completed projects within its portfolio, website, social media channels and marketing materials.
Where confidentiality is required, this must be agreed in writing before production commences.
18. Confidentiality
Both parties agree to keep confidential any proprietary information, commercial information, product concepts or business information disclosed during the course of the project unless disclosure is required by law.
19. Limitation of Liability
To the fullest extent permitted by law, The Candle Company's liability shall not exceed the total amount paid by the Client for the relevant order.
The Candle Company shall not be liable for indirect, incidental or consequential losses, including loss of profits, business interruption, loss of opportunity or reputational damage.
20. Force Majeure
The Candle Company shall not be liable for delays or failure to perform its obligations where such delay results from circumstances beyond its reasonable control, including supplier shortages, transportation delays, natural disasters, government restrictions, labour disputes or other unforeseen events.
21. Governing Law
These Private Label Terms shall be governed by the laws of the United Arab Emirates.
Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.
